STANDARD TERMS AND CONDITIONS
(SHORT TERM CONTRACT)

• BM&C are available to commence the project immediately upon receipt of your official company order.

• This Scope of Work and Cost Estimate have been prepared in good faith and with due care from the information provided by the client and from BM&C's expertise in the area of multi-disciplinary minerals consulting.

• The contract shall remain a reimbursable fees contract, although every effort shall be made to meet the Cost Estimate Schedule. BM&C undertake to advise the Client timeously should any budget overrun become apparent, especially with respect to expenditure of the Contingency.

• BM&C will report to the client regularly the progress with respect to budget and schedule

• BM&C undertake to produce the report and other documentation in software formats approved by The Client. Should specialist software applications be in use, The Client will be obliged to make such facilities temporarily available.

• Communications and IT charges will be charged at 0.5% of professional fees.

• This proposal particularly the Scope of Work and Cost Estimate is not available as a proforma to prepare enquiry documents and/or budgets. Should this proposal not be accepted the original, and any copies must be returned to BM&C.

• This proposal and any documents produced in terms of this proposal will remain the property of BM&C until full and final payment is received.

• BM&C undertakes to be bound by a Confidentiality Agreement in favour of the client.

• Travelling will only be charged as incurred and detailed on the invoice. Travelling expenses outside Johannesburg will be charged at a rate of R5,25 per kilometre.

• Consulting disbursements (e.g. accommodation) and out-of-pocket expenses shall only be incurred with prior approval of the client and will be for client's account.

• Disbursements accrued on behalf of the project, e.g. laboratory analysis etc., will be for the account of The Client directly, otherwise BM&C will charge a 10% administrative fee.

• Terms of Payment will be: 50% (Fifty per cent) as down payment. Work will only
Commence on signed proposal and your 50% down payment
50% (Fifty per cent) on submission of final report.

• Accounts are payable strictly on presentation of invoice. Overdue accounts shall bear the overdraft interest rate of BM&C's bankers.

• Fees and disbursements quoted exclude Value Added Tax.

• BM&C's total liability shall not exceed the equivalent amount of this proposal's professional fees for the project. Further indemnity insurance can be arranged at the client's cost, should it be required.
